Terms & Conditions
These Terms and Conditions (“Terms”) govern your access to and use of the Northcrest Consignment Group website (the “Site”) and any enquiry, communication or service request you submit to us. By accessing the Site or submitting information to us, you agree to be bound by these Terms. If you do not agree, please do not use the Site.
1. About us and the services described
Northcrest Consignment Group provides consignment box management, administration and related coordination services. Information published on the Site describes the general nature of our services only. It does not create a binding contract or obligation on our part. A formal written agreement, signed by both parties, is required before any consignment or investment arrangement exists.
2. No offer, solicitation or guarantee
Nothing on this Site constitutes an offer, solicitation, recommendation or commitment to enter into any transaction. Past results or examples shown or discussed are not indicative of future results. We do not guarantee profits, returns, timelines, liquidity or the preservation of any amount placed with us.
3. Eligibility and user obligations
You must provide accurate and complete information when contacting us or entering any arrangement. You represent that you have the legal right to consign any goods or assets you disclose to us, that those assets are lawfully owned by you or you have authority to consign them, and that your use of the Site complies with all applicable laws. You may not use the Site for unlawful, fraudulent, abusive or deceptive purposes, or to transmit malware, spam or other harmful material.
4. Fees and payments
All fees, commissions, storage charges, administrative costs, insurance, shipping, appraisal and any other deductions applicable to an arrangement will be disclosed in the written agreement before you commit. Any estimate or preliminary fee discussion is indicative only and is superseded by the signed agreement. You are responsible for any taxes, duties or charges imposed by authorities in connection with your arrangement.
5. Intellectual property
All content on the Site, including text, graphics, logos, icons, images, software and layout, is owned by or licensed to Northcrest Consignment Group and is protected by copyright, trademark and other intellectual property laws. You may view and print pages for personal, non-commercial use, but you may not reproduce, distribute, modify, create derivative works from, publicly display or commercially exploit any content without our prior written consent.
6. Disclaimer of warranties
The Site and its content are provided on an “as is” and “as available” basis without warranties of any kind, either express or implied, including but not limited to warranties of accuracy, completeness, merchantability, fitness for a particular purpose or non-infringement. We do not warrant that the Site will be uninterrupted, secure, error-free or free from viruses or other harmful components.
7. Limitation of liability
To the fullest extent permitted by law, Northcrest Consignment Group and its officers, directors, employees, agents, affiliates and service providers will not be liable for any indirect, incidental, special, consequential, punitive or exemplary damages, including lost profits, loss of data, loss of goodwill or business interruption, arising out of or relating to your use of the Site, any arrangement, or any third-party conduct or content. In any event, our aggregate liability will not exceed the amount of fees actually paid by you to us in the twelve (12) months preceding the claim. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
8. Indemnification
You agree to indemnify, defend and hold harmless Northcrest Consignment Group and its representatives from and against any claims, liabilities, damages, losses, costs and expenses (including reasonable legal fees) arising out of your breach of these Terms, your misuse of the Site, inaccurate information you provide, or any unlawful or unauthorized consignment of goods or assets.
9. Termination and suspension
We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including violation of these Terms or conduct that we believe is harmful to us, other users or third parties. Provisions that by their nature should survive termination will continue in effect, including ownership, disclaimers, liability limits and indemnification.
10. Governing law and dispute resolution
These Terms are governed by the laws of the jurisdiction in which Northcrest Consignment Group is organized and operates, without regard to conflict-of-law principles. Any dispute arising under these Terms will first be addressed through good-faith negotiation. If not resolved within thirty (30) days, either party may pursue binding arbitration or litigation in the courts of that jurisdiction, as permitted by applicable law.

Risk Disclosure
The following Risk Disclosure is designed to help you understand the material risks associated with consignment box management and consignment-related investment arrangements offered or administered by Northcrest Consignment Group. Please read it carefully and do not enter any arrangement unless you understand and accept these risks.
1. No guarantee of returns or preservation of capital
All consignment-related arrangements involve risk. You may receive less than the amount you placed, and in some circumstances you may lose part or all of your placement. Northcrest Consignment Group does not guarantee any rate of return, profit, income, capital preservation, liquidity or exit timing. Any figures, projections, examples or illustrations discussed are hypothetical and should not be relied upon as a forecast or assurance of outcome.
2. Market and valuation risk
The resale value of consigned goods can rise or fall based on market demand, condition, authenticity, provenance, economic conditions, seasonality and buyer preferences. Estimated values are not guarantees, and actual proceeds may be materially lower than anticipated.
3. Liquidity and timing risk
Consignment arrangements may be illiquid and difficult to exit before the agreed sale date or completion of the arrangement. Timelines for sale, settlement and distribution are estimates and may be delayed by market conditions, buyer availability, inspection, shipping, customs, authentication, force majeure or other factors beyond our control.
4. Fee, cost and deduction risk
Fees, commissions, storage, handling, insurance, shipping, appraisal, marketing, authentication, legal, accounting, administrative and other costs reduce the net proceeds available to you. These costs may be significant and may exceed any gains. The written agreement will specify the applicable fees and costs.
5. Operational and counterparty risk
Risks include loss, damage, theft, misplacement, fraud, error, system failure or the failure of third-party service providers (such as storage facilities, shippers, payment processors, marketplaces or insurers). While we take reasonable precautions, we cannot eliminate all operational risks, and insurance coverage may have limits, exclusions or deductibles.
6. Regulatory, tax and legal risk
Consignment arrangements may be subject to laws, regulations, licensing requirements, import/export controls, sanctions, tax obligations and reporting duties in multiple jurisdictions. You are responsible for understanding and complying with the laws that apply to you and for obtaining independent legal, tax and regulatory advice.
7. Early termination and withdrawal risk
Depending on the written agreement, early withdrawal or termination may be limited, subject to penalties, or unavailable. You should not place funds or assets with us that you may need to access on short notice.
8. Not a bank product or deposit protection
These arrangements are commercial in nature and are not bank deposits, savings accounts, government bonds or money-market instruments. They are not insured by any deposit protection scheme, government guarantee program or securities investor protection fund.
9. Suitability and independent advice
Consignment-related arrangements are not suitable for everyone. You should consider your own financial situation, investment objectives, risk tolerance, liquidity needs and experience before participating. We strongly recommend that you consult with independent financial, legal, tax and accounting professionals before making any commitment.
10. Acknowledgment
By entering into any arrangement with Northcrest Consignment Group, you acknowledge that you have read and understood this Risk Disclosure, that you understand the risks described, and that you are willing to assume those risks. You further acknowledge that Northcrest Consignment Group has not provided you with personalized investment, legal or tax advice.
